Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using Duezy (the "Service"), provided by Duezy Technologies ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

If you are entering into this agreement on behalf of a consulting firm, agency, or corporation, you represent that you have the authority to bind that entity.

2. Description of the Service

Duezy is an intelligent invoice reminder, tracking, and communication assistant designed for independent consultants, freelancers, and professional service firms.

Features include persistent invoice ledger tracking, multi-currency support, automated status calculation (Overdue, Due Soon, Paid), progressive tone calibration (Warm, Direct, Firm, Executive notices), Google OAuth 2.0 Gmail dispatch integration, and AI-assisted invoice data extraction and follow-up composition.

3. Plans, Subscriptions & Billing Terms

Duezy offers two primary subscription plans:

  • Free Plan ($0 / forever): Limited to 3 active invoices, 4 standard escalation tones, and manual draft review.
  • Duezy Pro ($24.99 / month or $249.90 / year): Unlocks unlimited active invoices, Personalized AI Scripting, direct autonomous auto-send, and 1-click Gmail dispatch. Annual plans receive 2 months free ($49.98 savings).
Self-Serve Cancellation & Grace Period:
You may cancel your subscription at any time with one click in the Subscription Management portal. Cancellations take effect at the end of your current billing period ("Cancel at Period End"), during which you retain full Pro access. Alternatively, you may choose immediate cancellation. In both cases, no invoices are deleted.

4. Acceptable Use & Anti-Spam Compliance

You agree to use Duezy solely for legitimate, professional business communications. You explicitly agree that you will not:

  • Send unsolicited mass marketing communications (SPAM) or violate the CAN-SPAM Act, CASL, or applicable electronic communication privacy directives.
  • Engage in unlawful debt collection harassment, threatening communications, profanity, or defamatory statements.
  • Attempt to reverse-engineer, decompile, or tamper with plan limits or security mechanisms of the application.
  • Impersonate any person or entity without legal authorization.

5. Intellectual Property & Data Ownership

  • You Own Your Data: You retain full, exclusive ownership of all client information, invoice details, payment records, and communication content entered into Duezy.
  • Our Platform: Duezy Technologies owns all right, title, and interest in and to the Duezy application, user interfaces, branding, software code, and underlying prompt architecture.

6. Disclaimer of Agency & Debt Collection

Administrative Tool Disclaimer: Duezy is an administrative communication and workflow tracking software. Duezy is not a debt collection agency, financial advisor, bank, or law firm. We do not guarantee client payments, nor do we assume legal liability for late payments or commercial client disputes.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Duezy Technologies, its founders, or contractors be liable for any indirect, incidental, punitive, or consequential damages, including loss of profits, data, or business goodwill arising from your use of the Service.

Our total aggregate liability under this agreement shall be limited to the total fees paid by you to Duezy in the twelve (12) months preceding the incident.

8. Termination

You may terminate these Terms at any time by deleting your account using the 1-click self-serve data wipe in Settings. We reserve the right to suspend or terminate accounts that violate our Acceptable Use policy or engage in abusive communication.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction of incorporation of Duezy Technologies, without regard to its conflict of law principles.

10. Modifications to Terms

We may update these Terms from time to time. If a revision meaningfully impacts your rights, we will notify you via the in-app notice banner or by email at least 30 days prior to changes taking effect. Continued use of Duezy constitutes acceptance of revised terms.
